Registered Agency Terms of Business Agreement:
The purpose of this agreement is to set out our professional relationship and to detail the services that we will provide to you and the conditions that are required to maintain this agreement.
Plegasus Europe S.L. reserves the right to amend and update these Terms and Conditions at any time giving notice via email.
Protectapet aim to improve animal husbandry as a Pet Healthcare Management Organisation and have been authorised, as per the details below, to sell their Pet Healthcare Plans as a Veterinary and Animal Healthcare Plan.
Protectapet Healthcare Plans are not classified as an insurance product and must not, under any circumstance be advertised, promoted or sold as such. Any use of the term “Insurance” mentioned verbally or in writing will constitute a breach of this contract and of the remit in which these terms of business are offered.
In part, Protectapet offer you a generous starting commission rate of 15% on all new sales and 10% on renewals that are completed via the website www.protectapet.eu or by any other means that results in a completed and paid-up plan document for pet healthcare plans being processed. For agents who maintain a high & consistent rate of sales for Protectapet, we will contact you to discuss an increase in commission rates. Please note that after a period of 12 months of inactivity on your part (ie no new sales) the contract between us will be terminated and therefore commission on further renewals will also be terminated.
We will exchange the information that you provide to us for the purpose of obtaining quotations and arranging cover with Protectapet. This may result in a credit check to confirm identities and minimise the risk of fraud. This may also involve disclosure of information to any government body. We will treat all information as private and confidential, and in strict accordance with the data protection act, even if you are no longer an Associate Agent and we will only share this information if required to do so by law or regulation.
You agree to abide by the GDPR regulations and take the necessary actions to protect the integrity of your clients personal and sensitive information at all times.
Protectapet are offering you the Protectapet Associate Agent Agreement to sell and promote the range of Pet Healthcare Products under the branding name Protectapet. As such, the Protectapet name and all products associated with us are our sole intellectual property and may not be copied or emulated in any way without our express permission.
Plegasus Europe S,L. owns all Protectapet Pet Healthcare Plans copyrights, trademarks, intellectual property rights, know-how or any other rights connected to the service or software necessary for the service. The Associate Agent does not acquire any rights or licenses whatsoever under this Agreement other than those specified or previously agreed.
You are permitted to sell, promote and otherwise advance the Protectapet brand of products via the website www.protectapet.eu or via your network of agents and brokers. You, as a registered entity, may also offer the Protectapet products to ‘other’ brokers and agents or any other outlet, under the sub agency agreement. Any sub agency agreements must be notified and registered as an introducer or agent with Protectapet as part of the compliance procedure.
Each introducer, agent, sub agent and broker, associated with you or your businesses will be required to complete the compliance process of registering their services or business on the website www.protectapet.eu. By completing the signup process they agree to these terms and conditions.
All commissions will be paid directly to your bank account by bank transfer. Protectapet will not be involved or take any responsibility whatsoever for any situation that arises from you not being able to, or defaulting on making payments to any of your sub agents or networks associated with you. Commission is paid monthly over the course of the year in direct relation to the monthly payments paid by your client to Protectapet for their Plan. You, the Associate Agent will be able to view your commission statement in your dedicated Agent Portal on our website. Once your commission balance has reached a minimum of 15€ you can request to draw-down your balance whereby your commission will be transferred to you within 31 days.
All payments for Protectapet healthcare plans will be paid directly to Plegasus Europe S,L. and held in a separate client account with our own bank.
The registered agent, sub agent or Broker will be responsible for complying with all tax and employment regulations with regard to receiving commission payments. As per the laws in Spain, Plegasus Europe S,L. will deduct any taxes due at source as per retention requirements for any payments to individuals, trading in Spain prior to the payment of the commission.
Claims will be assessed as per the Terms and Conditions in English and will be processed directly by Protectapet and may from time to time require the intervention of the selling agent. Protectapet undertake to process the claims within a reasonable period of time and make payments or refunds directly to the client bank account.
Protectapet Pet Healthcare Plans are paid on a monthly subscription basis by bank direct debit or visa. There will be no notification of renewal as these are classified as open-ended contracts, due to the fact that Protectapet pet healthcare plans have fixed premiums for life.
Our duty - Once you (the agent) has set up a plan for your client via the Protectapet website and you have processed the payment successfully. Protectapet undertakes to process all pet healthcare plans through our website, we will provide the terms and conditions and plan documentation directly to the clients via email. We also undertake to process all claims and renewals directly with the client.
You undertake to ensure that you and your agents and sub-agents are operating legally and legitimately within the framework of the legal system in the country of operation. Protectapet will not entertain any legal challenges or enter into any legally binding contract that infringes these guidelines.
Protectapet will not be held responsible for any misappropriation of funds, legal requirements or for any indiscretions that may or may not be attributed to you, your brokers, agents or sub-agents, and will not accept any responsibility for any actions undertaken by you without our express permissions.
If any dispute arises out of this Agreement the Parties will attempt to settle it by a mediation procedure as the parties may agree in writing.
In the event of fraud, of any type, however disclosed or discovered, this contract will be terminated with immediate effect.
You will be responsible for ensuring that you, your brokers, agents and sub agents comply with all of the regulations regarding the taxing, banking and money laundering laws of the country or countries you are operating in. Failure to pay the taxes due on any commissions paid to you, your brokers, agents or sub agents will be your responsibility and Protectapet will not enter into any litigation regarding any of the above.
Protectapet shall not be liable to the Associate Agent for:
If any dispute arises out of this Agreement the Parties will attempt to settle it by a mediation procedure as the parties may agree in writing.
The Associate Agent is solely responsible for his/her website and all its contents and shall ensure that they conform at all times to all applicable laws and regulations and the terms and conditions of the Protectapet Pet Healthcare plans being sold. The Associate Agent must not in any way generate or contribute to generating Artificial Traffic.
This is not an exclusive contract. Protectapet may generate additional agencies over a period of time. Any plan or online production that is not associated directly with you will be the sole property of Protectapet.
Product training is a simple process. All terms and conditions and plan details are online and available to all agents. It is your responsibility as a registered agent to familiarise yourself with these terms and conditions and plan wording. If in doubt please contact us to seek clarification.
Protectapet are always improving the services and products that we provide and we will offer these to your clients, agents, brokers and sub-agents when they are available. Protectapet reserve the right to alter, change, add and/or modify any of our products without notification. These changes will be advertised and submitted via our website.
All our products are self-explanatory and easy to understand. The terms and conditions of the plans are clear and concise and your clients must accept the terms and conditions to proceed with the purchase of the products.
In the event of a complaint, the client, agent, broker or sub-agent may write to us in the first instance by email and this will be referred directly to our customer service department and the Director of the company. All complaints will be dealt with in a professional, timely manner.
In the event that you wish to terminate this agreement, please notify us in writing. At the said termination of this agreement, Protectapet will continue to honour our commitments to the clients that have paid for pet healthcare plans and the said clients will become the property of Protectapet.
It is understood and agreed that Protectapet, The European Pet Healthcare Management Organisation, is a trading name of Plegasus Europe S.L and is registered in the Registro Mercantil de Alicante. Pza. Deportista Andres Munoz 8, 03003 Alicante, Spain. Registration no: B53888699. Document Number 1/2005/19.056.0 and in the Registro Mercantile de Vergara 94, 28006, Madrid. Certification Number 05206659. It is authorised by the Ministerio De Economia, Industria Y Competitividad and the Direccion General de Seguros Y Fondos de Pensiones, Ref 8/2017 Section De Analisis de Actas NA0120 and S 8981-2017 and conforms to Articles 121 Y 122 de la Ley 39/2015, de 1 October, de Procedimiento Administrivo Comun de las Administrationes Publicas, dated in Madrid on 7th April 2017.
